END-USER LICENSE AGREEMENT

THIS END-USER LICENSE AGREEMENT (HEREUNDER: 'AGREEMENT') IS A LEGAL AGREEMENT BETWEEN YOU AND CLIP TAILORS INC. (HEREUNDER: 'CLIP TAILORS').
By clicking the 'I have read and accept the above End User License Agreement' checkbox You indicate that You have read, understood and accepted all the terms and conditions of this Agreement, and will become legally bound by it.
IF YOU DO NOT AGREE, DO NOT CLICK THE 'I HAVE READ AND ACCEPT THE ABOVE END USER LICENSE AGREEMENT' CHECKBOX.

DEFINITIONS

For the purpose of this Agreement:
'You': An individual or legal entity exercising the right to enter this Agreement. Legal entity includes any entities or individuals which are controlled by or control You.
'Video Clips': one or more computer files containing video, sound, audio, images, scripts, text, code, graphics, user interface and computer software that may be encoded in different compressed or uncompressed formats. Video Clips include all the related files that will be provided to You by Clip Tailors and include the Control Panel (as defined hereunder).
'Control Panel': a set of button that are displayed with the Video Clips to control their behavior and characteristics, and may include logos, trademarks, graphics and links.
'Website': a collection of web pages and content on the Internet (World Wide Web) that are linked together under a single URL (Uniform Resource Locator) or IP Address (Internet Protocol Address).

SERVICE PROVIDED

By ordering Video Clips You are purchasing the production services and the license to the use of Video Clips subject to the terms and conditions of this Agreement.

PRODUCTION AND DELIVERY

Based on the information provided by You through the Clip Tailors website, Clip Tailors will produce the Video Clips with the design settings, actors, outfits, texts and presentation styles You chose during the online process leading to the webpage on which this Agreement is displayed.
The Video Clips will be produced, filmed, edited, rendered and coded by Clip Tailors and will be made available for You to download through email, a link or our website within up to 7 business days from the date your order is placed and payment is cleared with the bank (hereunder referred to as: 'Delivery Date').
If for any reason, Clip Tailors will not make the Video Clips You purchased available to You within the 7 business days period, any payment made by You for such Video Clips will be fully refunded to You within up to another 7 business days and this contract will be terminated.
The above will not apply in the case that You have selected to purchase the copywriting option for some or all of the Video Clips You order. In this case, the 7 days delivery period will start after the final text for the Video Clips was approved by You in writing through an email to us or through the Clip Tailors.
The Video Clips and all related material will be made available for You for download through the Clip Tailors website or by email or by a provided link for a period of only 20 days from the Delivery Date.
If for any reason the chosen actor or actors for the Video Clips is not available for the purpose of producing the Video Clips, Clip Tailors will notify You by email or through the Clip Tailors website. In such an event You will have the option to choose a different actor from the actors available on the Clip Tailors website, or to receive a full refund. If You choose a different actor, the 7 days count of the Delivery Date will start once your choice is sent to Clip Tailors by email or through the Clip Tailors website. If You choose to receive a full refund, it will be paid to You within up to 7 business days from the date of Your notice for any amounts You paid for this order.
The delivery of the Video Clips does not transfer to You or grant You any right other than the ones prescribed in this Agreement.

RIGHT TO REFUSE

Clip Tailors reserves the right at its sole discretion to refuse to produce and supply the Video Clips. In such event You will be notified by email or though the Clip Tailors website and any amount paid by You for any such canceled order will be refunded to You in full within up to 7 business days from the notice.

PAYMENT

You herby authorize Clip Tailors to charge Your credit card for the amounts as they appear in the Shopping Cart in the Clip Tailors website when placing this order. In the case the payment cannot be charged to the credit card You provide, You agree to provide alternative means of payment.
Any payments made by You to Clip Tailors are final and will only be refunded subject to the terms set hereunder.

APPROVAL AND REFUNDS

Once the Video Clips were made available for You to download through email, provided link or the Clip Tailors website, You will have a period of up to 7 business days to approve the Video Clips (hereunder referred to as: 'Approval Period').
Your will be deemed to have approved the Video Clips if:

Once You have approved the Video Clips, the sale is final and there will be no refund of any kind. The approval would constitute that Clip Tailors had satisfied its entire obligation to You under this Agreement and You have no further claims from Clip Tailors. This Agreement will remain binding and in effect.
If for any reason You do not approve the Video Clips, You will notify us by email of the reason for not approving it. If the reason is an Acceptable Reason as listed below, we will either OFFER YOU TO PRODUCE THE VIDEO CLIPS AGAIN, CORRECTING THE REASONS FOR NOT APPROVING IT, OR WE WILL ISSUE YOU A FULL REFUND FOR ANY AMOUNT PAID BY YOU FOR THE VIDEO CLIPS WITHIN UP TO 7 BUSINESS DAYS FROM NOTIFYING US.
Acceptable Reasons are: If the reason for not approving the Video Clips is any other reason (including but not limited to: You want a different text, You want a different design, You want a different actor, You changed Your mind), we may offer You to either accept the Video Clips' as is' for a partial refund which we will determine at our sole discretion.
Alternatively, we will offer You to not take delivery and not use the Video Clips for a partial refund which will be set at our own sole discretion; such refund amount will not exceed 75% of the order amount, and in any such case at least 25% of the order amount will remain. In such event, You will destroy any material including the Video Clips which were sent to You and any of its components and parts and will not make any use of the Video Clips in any way or form.

LICENSE FOR USE Subject to the terms and conditions of this Agreement You are here by granted a license to use the Video Clips in following manner:

YOU HEREBY AGREE NOT TO:

THE USE OF THE VIDEO CLIPS OR ANY PART OF THE VIDEO CLIPS, EXCEPT FOR USE OF AS PERMITTED IN THIS AGREEMENT, IS STRICTLY PROHIBITED AND INFRINGES ON THE INTELLECTUAL PROPERTY RIGHTS OF CLIP TAILORS OR OTHERS AND MAY SUBJECT YOU TO CIVIL AND CRIMINAL PENALTIES, INCLUDING POSSIBLE MONETARY DAMAGES FOR COPYRIGHT INFRINGEMENT. You are granted no right or license with respect to any of the trademarks of Clip Tailors or any other trademarks used in the Video Clips or the Clip Tailors website.

OWNERSHIP With the exception of any text provided by You for the purpose of producing the Video Clips, You hereby acknowledge that all the material provided to You by Clip Tailors and all the Video Clips contains proprietary information and material that is owned by Clip Tailors, is the sole and exclusive property of Clip Tailors and is protected by applicable intellectual property and other laws, including but not limited to copyright, and that You will not use such proprietary information or materials in any way whatsoever except for use as prescribed in the terms of this Agreement.

RESPONSIBILITY FOR CONTENT AND USE

THE USE OF THE VIDEO CLIPS AND ALL LICENSED MATERIAL IS AT YOUR SOLE RESPONSIBILITY AND YOUR SOLE RISK.
Your hereby agree to use the Video Clips in a lawful manner and subject to all applicable laws, including but not limited to copyright laws. You hereby agree to hold Clip Tailors harmless of any responsibility, and indemnify Clip Tailors for any claim or legal actions that may be the result of the use of Video Clips by You.
You hereby acknowledge that You have the full copyrights and usage rights to any text or script provided by You for the purpose of producing the Video Clips and that Clip Tailors has not examined or evaluated the content and rights of any such material. You will hold Clip Tailors harmless of any responsibility, and indemnify Clip Tailors for any claim or legal actions that may be the result of the use of such text and scripts provided by You.
In no case shall Clip Tailors, its directors, officers, employees, affiliates, agents, contractors, or licensors be liable for any direct, indirect, incidental, punitive, special, or consequential damages arising from your use of the Video Clips or for any other claim related in any way to your use of the Video Clips, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of any content (or Video Clips) posted, transmitted, or otherwise made available, even if advised of their possibility.

WAIVER AND INDEMNITY By using the Video Clip and the Clip Tailors website, You agree to indemnify and hold Clip Tailors, its directors, officers, employees, affiliates, agents, contractors, and licensors harmless with respect to any claims arising out of Your breach of this Agreement, Your use of the Video Clip and the Clip Tailors website.

QUALITY AND EFFECTIVENESS

Clip Tailors will provide the Video Clips at the highest quality available to it at the time of production. However, You hereby acknowledge that the quality of Video Clips is subject to the way it will be used by You, including but not limited to the type of hardware used by You or the Video Clips' viewers and the bandwidth of internet connection used by You or the Video Clips viewers.
You hereby acknowledge that Clip Tailors is providing the Video Clips 'as is' without warranties of any kind, either express or implied, including but not limited to any warranties of fitness for purpose, quality, effectiveness and any type of results You may be getting from the use of the Video Clips. You hereby waive any right to make any claim as to such fitness for purpose, quality, effectiveness and results.

BROWSER SUPPORT

Clip Tailors hereby pledge that the Video Clips will be provided to You with all necessary computer files and scripts to enable You the use of the Video Clips on a website, and to be viewed on the supported browsers as advertised in the Support web-page on the Clip Tailors website at the time or placing the order.
This will include providing You with updates, upgrades and changes to the Video Clips and related files to support these browsers and any updated versions of them for a period of up to 3 months from the Delivery Date at no extra cost to You.

ACTORS

You hereby acknowledge that Clip Tailors has the exclusive right to the name, voice, silhouette, photograph, likeness, caricature and/or signature (collectively referred to herein as “name and likeness”) and/or biography in connection with the production, exhibition, advertising and other exploitation of the Video Clips and the actors used therein.
You acknowledge that any actors used in the Video Clips, may have been used in the past, present and may be used in the future for the production of other Video Clips nonrelated to You. You further acknowledge that You have been notified that any such actors may appear in any other type of media, broadcast, photography, advertising and performance anywhere else, even if this may have any kind of effect on You or the fact that they appear in the Video Clips provided to You under this Agreement.

YOUR INFORMATION

You hereby acknowledge that all the information provided by You and about You is true and correct.
You hereby acknowledge that You are at least eighteen (18) years of age or older and are not under any legal disability which prevents You from entering into this binding Agreement.
All the information provided by You is subject to our Privacy policy. Clip Tailors shall use reasonable efforts to protect information submitted by You, but You acknowledge and agree that Your submission of such information is at Your sole risk, and Clip Tailors hereby disclaims any and all liability to You for any loss or liability relating to such information in any way.

LINK TO YOUR SITE

You hereby grant Clip Tailors the right to incorporate a link in its website, emails, promotional material or any other advertising form, to any website where the Video Clips are used.
You further grant Clip Tailors the right to advertise in any way or form, including in its own website or third party, the fact that You are using the Video Clips.

GOVERNING LAW

This Agreement shall be exclusively construed in accordance with the internal laws of the United States of America and the State of New Jersey, and any suit, action, or proceeding arising out of, or relating to this Agreement, must, and exclusively shall, be commenced and maintained in the Superior Court of the State of New Jersey, Bergen County, and each Party consents to such jurisdiction and venue.

ENTIRE AGREEMENT

This Agreement contains the full and complete understanding between the parties with reference to the within subject matter, supersedes all prior Agreements and understandings whether written or oral pertaining thereto, and cannot be modified except as provided in the paragraph titled 'Changes to this Agreement' hereunder.

CHANGES TO THIS AGREEMENT

Clip Tailors reserves the right, at any time and from time to time, to update, revise, supplement, and otherwise modify this Agreement and to impose new or additional rules, policies, terms, or conditions on your use of the Video Clips. Such updates, revisions, supplements, modifications, and additional rules, policies, terms, and conditions (collectively referred to in this Agreement as 'Additional Terms') will be effective immediately and incorporated into this Agreement. Your continued use of the Video Clips will be deemed to constitute your acceptance of any and all such Additional Terms. All Additional Terms are hereby incorporated into this Agreement by this reference.

PARAGRAPH HEADINGS

The paragraph headings utilized herein are for convenience only and they shall not affect the construction of any provision hereof.

NOTIFICATIONS

Any notifications made by You through email to Clip Tailors, will be deemed delivered only after Clip Tailors confirms the receipt of such notifications.
Any notifications sent to You will be deemed delivered once sent to the email address provided by You.
